Supplier Code of Conduct

Verdiva Bio and its affiliates (“Verdiva”) is committed to conducting business with integrity, ethics, and responsibility. We expect all suppliers (and their subcontractors) providing goods or services to Verdiva to comply with this Supplier Code of Conduct, as well as all applicable laws, regulations, industry standards and contractual obligations.

Compliance with Laws and Regulations

Suppliers must comply with all applicable laws, regulations, and industry standards and contractual requirements relevant to the goods or services they provide to Verdiva, including, where applicable:

  • Good Manufacturing Practices (GMP), Good Laboratory Practices (GLP) and Good Clinical Practice (GCP) standards
  • Environmental and health and safety laws
  • Employment and labour laws, including wage and hour laws
  • Anti-corruption, anti-bribery, anti-fraud and fair competition laws
  • Import/export controls, sanctions and trade compliance regulations
  • Data protection, privacy and cybersecurity requirements

Ethical Business Practices

Suppliers must not offer, promise, give, request or accept bribes, kickbacks, facilitation payments or any improper advantage. Gifts, hospitality, donations or sponsorships must never be used to improperly influence business decisions.

Suppliers must conduct business with integrity and transparency. This includes:

  • Prohibiting corruption, bribery, and fraudulent practices
  • Avoiding conflicts of interest
  • Providing accurate records and disclosures
  • Protecting intellectual property and proprietary information

Human Rights and Labour Standards

Suppliers must comply with applicable modern slavery, human trafficking and labour rights legislation and must not use forced, bonded, involuntary, trafficked or child labour. Suppliers are expected to apply equivalent standards to their own suppliers, subcontractors and labour agencies.

This includes:

  • Prohibiting forced labour, child labour, and human trafficking
  • Ensuring safe and healthy working conditions
  • Prohibiting discrimination and harassment
  • Providing fair wages, benefits, and working hours in compliance with local laws

Environmental Health and Safety Responsibility

Suppliers must operate in a responsible manner that protects the health, safety and wellbeing of workers, visitors, the public and the environment by:

  • Reducing waste and emissions
  • Implementing sustainable sourcing and resource management
  • Handling hazardous materials safely and responsibly
  • Complying with all applicable environmental laws
  • Operating in a responsible manner that is intended to protect the health and safety of all employees

Quality and Safety Standards

Suppliers must ensure that their products and services meet the highest quality and safety standards, including:

  • Adhering to GxP standards where applicable
  • Maintaining accurate records and traceability
  • Conducting regular quality control testing and audits
  • Reporting any safety concerns or defects promptly

Data Privacy and Cybersecurity

Suppliers that process, access, store or transmit Verdiva confidential information, personal data, patient data or business information must implement appropriate technical and organisational security measures and comply with all applicable data protection and privacy laws, including GDPR, HIPAA and other relevant requirements where applicable.

Supplier Diversity and Inclusion

Suppliers are encouraged to promote diversity and inclusion by:

  • Engaging in fair and non-discriminatory hiring practices
  • Supporting minority-owned, women-owned, and small businesses
  • Creating inclusive workplaces and supply chains

Monitoring and Compliance

Suppliers must promptly cooperate with reasonable information requests, audits, assessments or investigations relating to compliance with this Code. Where non-compliance is identified, suppliers must implement corrective and preventive actions within agreed timescales.

Reporting Violations

Suppliers must report any known or suspected violations of this Code, law, regulation or contractual obligation. Reports may be made confidentially through the Verdiva’s designated reporting channel – Operational.Services@verdivabio.com. Verdiva prohibits retaliation against anyone who raises a concern in good faith.
